These Terms of Use and End User License Agreement (“Terms”) govern your use of My Brain Agent (the “App”), provided by Semantic Works LLC (“Semantic Works,” “we,” “us,” or “our”).
By installing, accessing, or using the App, you agree to these Terms. If you do not agree, do not install or use the App.
Semantic Works grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on computers that you own or control, subject to these Terms and any applicable purchase, subscription, or license conditions.
The App requires a valid license to operate fully and may periodically connect to Semantic Works servers solely for license validation, license lease management, and related licensing operations.
You may not sell, sublicense, distribute, copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the App, except where applicable law expressly permits such activity.
The App is a local software application that provides document access, conversion, inspection, and MCP (Model Context Protocol) integration capabilities.
The App runs on your computer and may allow compatible local applications, including AI assistants, large language models, coding assistants, MCP clients, and other local software, to connect to the App through a local interface.
The App may allow you to connect your own Google Cloud service account by providing a service account key file.
If configured by you, the App uses your provided credentials to access files available to that Google Cloud service account through Google APIs, including files or folders to which the service account has been granted access.
Semantic Works does not receive, upload, store, or process your Google service account key files.
Semantic Works does not receive, upload, store, or process files retrieved from Google Drive.
The App may access files stored on your computer, including files located on local storage, removable drives, network-mounted locations, or synchronized cloud folders.
The App does not scan your computer, discover files automatically, monitor folders, or create an inventory of your files.
Files are accessed only when explicitly requested through the MCP interface by an application or agent that you authorize.
The requesting MCP client must provide the specific file path, folder path, query, or operation to be performed.
The App may convert supported file formats into text or other machine-readable representations for use by local applications and AI systems.
Supported operations may include conversion or extraction from formats such as:

The App does not transmit converted file contents, extracted text, or generated artifacts to Semantic Works servers.
The App may provide local tools for inspecting structured data formats, including large JSON files.
Such tools may allow connected MCP clients to query, filter, extract, or inspect portions of structured data using local processing capabilities, including functionality similar to JSON query tools.
These operations occur locally on your device.
The App may save files, converted text, extracted content, downloaded files, indexes, or other generated artifacts to locations on your computer specified by the requesting MCP client.
File creation and write operations require explicit instructions and destination paths supplied through the MCP interface.
The App does not independently select file locations or decide where data should be stored.
The App is designed to process user data locally on your computer.
Except for limited communications necessary for license validation and license lease management, including transmission of the device identifier hash described below, the App does not transmit your data, files, extracted text, Google Drive contents, MCP communications, or generated outputs to Semantic Works servers.
For license management purposes, the App may transmit a cryptographic SHA-256 hash derived from a device-specific identifier associated with your Mac or other device-specific information.

The App may temporarily load and process files in memory or local storage for purposes including:
All such processing is performed locally.
The App provides an MCP (Model Context Protocol) server interface for communication with other applications connected to the App, including AI assistants, agents, and other MCP-compatible applications running on the same computer.
The MCP server communicates using TCP/IP networking over the local loopback interface (127.0.0.1) on a configurable port. For example, the App may listen on a local TCP endpoint such as:

The MCP interface uses JSON-RPC message exchange over this local TCP connection to receive requests and return responses between the App and authorized local clients.
The MCP interface is designed for communication between the App and software running on the same device. It is not intended to operate as a public network service. The MCP interface itself does not transmit MCP requests, responses, file contents, or processed data to Semantic Works servers or external network endpoints as part of normal MCP operation.
Through the MCP interface, authorized clients may request operations supported by the App, including:
The App does not independently scan, discover, index, or select files on your computer. File access and processing occur only in response to explicit requests received through the MCP interface.
The App does not determine which MCP clients should connect, which files should be accessed, what operations should be performed, or where generated files should be stored.
Semantic Works does not control, monitor, or verify the behavior of MCP clients, AI assistants, agents, or other third-party applications connected to the App.
Any data made available through the MCP interface may be processed, stored, or transmitted by connected applications according to their own functionality and policies.
You are solely responsible for controlling and securing access to your computer and any applications that connect to the App, including:
You are responsible for understanding how connected MCP clients, AI assistants, agents, and other applications process, store, or transmit information.
If you configure your computer, network, or software environment in a manner that permits remote access to the App or MCP interface, you are solely responsible for the resulting security implications, access control, and consequences of such configuration.

For Google Cloud service accounts used with the App, you are responsible for:
The App may interact with third-party services, including Google APIs and other applications configured by you.
Your use of third-party services is governed by the terms and policies of those providers.
You are responsible for complying with all applicable third-party terms.
The App may allow you to enter your own API keys or developer credentials for third-party services, including but not limited to Google Gemini, OpenAI, Anthropic, and other AI or cloud providers.
Third-party API keys are stored locally on your computer. The App uses these keys solely to create digital signatures or authentication tokens required to access those third-party services on your behalf. Semantic Works does not receive, transmit, or store your third-party API keys.
When you use features that rely on third-party API keys, your prompts, queries, or data may be transmitted directly from your computer to those third-party providers. Such transmissions are governed by the terms and privacy policies of those providers.
You are solely responsible for:

You agree to comply with all applicable export control, sanctions, and import laws and regulations applicable to your use of the App.
You may not use the App:
The App, including its software, design, documentation, trademarks, source code, compiled binaries, and related intellectual property, is owned by Semantic Works or its licensors.
These Terms grant you permission to use the App only. They do not transfer ownership of any Semantic Works intellectual property.
Google Drive and Google Cloud are trademarks of Google LLC.
The App is independent software and is not affiliated with, endorsed by, or sponsored by Google, Apple, OpenAI, Anthropic, Amazon, or other third-party providers.
The App may include proprietary artificial intelligence materials, including without limitation:
These materials ("Confidential AI Materials") are proprietary trade secrets of Semantic Works.
You agree:
These obligations survive termination.
The App is implemented using the Rust programming language.
The App uses Cargo, Rust's package manager and build system, to manage software dependencies and support consistent builds.
The App is distributed as a digitally signed macOS application through Apple's Developer Program.
Digital signing allows macOS to verify the authenticity and integrity of the application distributed by Semantic Works.
Semantic Works maintains software supply chain information for released builds, including dependency information and build-related metadata.
Such information may be made available to customers upon request, at Semantic Works' sole discretion.
Semantic Works may limit, condition, or deny any request for disclosure for any reason, including without limitation to protect:
No software application can be guaranteed to be free from defects, vulnerabilities, or security risks.
Semantic Works may provide updates, corrections, security changes, or new versions of the App, but is not required to do so.
Semantic Works may modify, suspend, or discontinue all or part of the App.
The App may become incompatible with future operating systems, APIs, cloud services, or third-party applications.
No Refunds:
Due to the nature of software products, purchases are final except where required by applicable law.
Billing and Cancellation:
Subscriptions continue until canceled. Cancellation prevents future billing but does not provide prorated refunds for unused periods unless required by law.
Third-Party Services:
The App may rely on third-party platforms and APIs. Changes to third-party services outside Semantic Works' control may affect functionality.
Your license ends automatically if you materially violate these Terms.
Upon termination, you must stop using and uninstall the App.
Sections relating to ownership, confidentiality, disclaimers, liability, and governing law survive termination.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMANTIC WORKS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, SECURITY, COMPATIBILITY, AND NON-INFRINGEMENT.
Semantic Works does not guarantee:
Semantic Works does not guarantee the accuracy, completeness, reliability, or suitability of content generated, converted, extracted, or processed through the App. You are responsible for reviewing and verifying outputs before relying on them.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMANTIC WORKS WILL NOT BE LIABLE FOR:
SEMANTIC WORKS' TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $50 IF YOU USED THE APP WITHOUT PAYMENT.
These Terms are governed by the laws of the State of Florida.
Any legal proceeding arising from these Terms or the App must be brought in state or federal courts located in Hillsborough County, Florida.
Semantic Works may update these Terms from time to time.
Material changes may be communicated through the App or website.
Your continued use of the App after updated Terms become effective constitutes acceptance.
These Terms constitute the entire agreement between you and Semantic Works regarding the App.
If any provision is found unenforceable, the remaining provisions remain effective.
Failure to enforce any provision does not constitute a waiver.
